1. Agreement and Eligibility
These Terms govern access to TradeChrona. By creating an account, purchasing a subscription, installing a connector, or using the service, you agree to these Terms and incorporated policies. You must be at least 18, legally able to enter a contract, and permitted to use the service where you live.
2. The TradeChrona Service
TradeChrona provides journaling, calendar, account tracking, analytics, historical backtesting, strategy research, generated-code export, read-only monitoring, and related tools. Features, supported providers, limits, and availability may change. Beta, preview, sandbox, or feature-flagged functionality may be incomplete and may be changed or discontinued.
TradeChrona is not a broker, futures commission merchant, introducing broker, investment adviser, commodity trading adviser, signal service, copy-trading service, or trade-execution venue. It does not custody customer funds or place, route, copy, cancel, or modify orders.
3. Accounts and Security
You must provide accurate information, protect credentials and recovery codes, maintain control of your email and devices, and promptly report unauthorized access. You are responsible for activity under your account unless prohibited by law. You may not share an individual account in a way that bypasses plan limits.
4. Third-Party Platforms and Data
Platform connections depend on third-party systems, permissions, APIs, market data, subscriptions, and terms. Separate fees may apply. TradeChrona does not control and is not responsible for provider outages, changes, data errors, delayed records, revoked access, account actions, or trading losses. You must verify imported information against authoritative provider records.
5. Subscriptions, Renewals, Taxes, and Cancellation
Paid plans renew automatically at the disclosed interval until cancelled. Prices, account limits, platforms, add-ons, discounts, taxes, trial conditions, and renewal dates are displayed during checkout. You authorize the payment provider to charge applicable amounts. Downgrades may limit new imports or premium features but should not silently delete historical data.
Cancellation takes effect as disclosed in the billing interface, normally at the end of the paid period. Refund eligibility is governed by the Refund Policy and mandatory law. Third-party platform fees are not charged or refunded by TradeChrona.
6. User Content and Licenses
You retain ownership of lawful content you submit. You grant TradeChrona a limited, worldwide, nonexclusive license to host, process, reproduce, transmit, display, back up, and adapt that content only as reasonably necessary to operate, secure, support, and improve the service. You represent that you have the rights needed to submit it.
7. Backtesting, Strategy Builder, and Generated Code
Backtests, optimizers, simulations, rankings, comparisons, and generated code are historical or simulated research outputs. They depend on historical data, assumptions, fees, slippage, fill models, session definitions, data quality, and implementation choices. They cannot reproduce all market conditions and do not predict future performance.
You must independently inspect, compile, validate, simulate, risk-test, and supervise any generated NinjaScript before use. TradeChrona does not activate generated strategies. You are solely responsible for any decision to use code, settings, or research in a trading environment.
8. Acceptable Use
You may not misuse the service; bypass access or account limits; probe or attack systems; upload malware; reverse engineer protected components except where law permits; scrape at harmful scale; impersonate others; infringe rights; violate platform terms; use the service for unlawful trade execution or market abuse; or attempt to make TradeChrona place orders.
9. Availability, Changes, and Support
The service may be interrupted by maintenance, defects, providers, networks, security events, force majeure, or other causes. We do not guarantee uninterrupted access, permanent retention, compatibility with every platform version, or correction of every defect. Support scope and response targets vary by plan and are not emergency services.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TRADECHRONA DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS. WE DO NOT WARRANT THAT DATA, CALCULATIONS, IMPORTS, ALERTS, GENERATED CODE, INSIGHTS, OR REPORTS ARE COMPLETE, TIMELY, OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADECHRONA AND ITS AFFILIATES, PERSONNEL, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; TRADING LOSSES; LOST PROFITS; LOST OPPORTUNITIES; LOSS OR CORRUPTION OF DATA; BUSINESS INTERRUPTION; OR THIRD-PARTY PLATFORM ACTIONS, EVEN IF ADVISED OF THE POSSIBILITY.
THE AGGREGATE LIABILITY CAP, EXCLUSIONS, JURISDICTIONAL CARVE-OUTS, AND CONSUMER-LAW LANGUAGE MUST BE FINALIZED BY COUNSEL BEFORE LAUNCH. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LEGALLY BE LIMITED.
12. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold TradeChrona harmless from claims arising from your unlawful use, violation of these Terms, infringement of third-party rights, user content, or use of generated code.
13. Suspension and Termination
We may suspend or terminate access for material breach, fraud, security risk, nonpayment, unlawful conduct, platform restrictions, or legal requirement. Where practical, we may provide notice and an opportunity to export eligible data. Sections that by nature should survive will survive termination.
14. Governing Law and Disputes
The governing law, venue, arbitration or court procedure, class-action terms, opt-out process, and statutory notices are intentionally not finalized. Counsel must select language appropriate to the final operating entity, location, and customer jurisdictions before public launch.
